ARTICLE I
The name of this governing body shall be the Board of Governors of The University of Findlay Alumni Association, Incorporated.
ARTICLE II
The purpose of this governing body shall be to conduct the business of the Alumni Association, to exercise all the powers of the Association [except those reserved for the Association] between meetings of the Association, and to provide representation and support to the University and the Board of Trustees.
ARTICLE III
Section 1
The Board of Governors shall consist of the officers of the Association, the immediate Past President of the Association, twelve [12] elected members, and five [5] appointed members, alumni trustee [s] appointed by the Alumni Board of Governors and two [2] student members.
Section 2
The Executive Committee of the Board of Governors shall consist of the President, Vice President, Past President and Secretary. The Vice President for Development and the Director of Alumni and Parent Relations shall serve ex officio.
ARTICLE IV
Section 1
The President shall serve as the official representative of the Association and shall:
a. Preside at all meetings of the Association, Board of Governors and Executive Committee;
b. Appoint a secretary from the Board of Governors;
c. Appoint chairs of standing committees;
d. Appoint committees as deemed necessary;
e. Serve as an ex officio member of all standing committees;
f. Appoint members to the Board of Governors as deemed necessary and as stated in Article III, Section 1.
Section 2
The Vice President shall:
a. In the absence or disability of the President, assume the functions of that office;
b. Provide leadership to class agents; and
c. Perform such other duties as assigned by the President.
Section 3
The Secretary shall:
a. Maintain minutes of all meetings of the Association, Board of Governors and Executive Committee; and
b. Perform such other duties as assigned by the President.
Section 4
The Director of Alumni and Parent Relations shall:
a. Maintain records of the membership and business transactions of the Association, Board of Governors and Executive Committee;
b. Serve as an ex officio member of the Executive Committee and all standing committees; and
c. Coordinate all communications and publications of the Association.
Section 5
The Past President shall serve as adviser to the Board of Governors and the Executive Committee, and shall:
a. Chair the Alumni Recognitions Committee; and
b. Perform such other duties as assigned by the President.
Section 6
Four [4] members of the Board of Governors shall be appointed to represent the Association to the Board of Trustees Committees on Development, Business Affairs, Student Services, and Academic Affairs, each serving one [1] two-year term.
Section 7
At least one member of The University of Findlay Board of Trustees shall be designated alumni trustee, appointed by the Executive Committee of the Board of Trustees upon recommendation of the Board of Governors to serve one [1] two-year term.
Section 8
The President of The University of Findlay Senior Class and the President of an alumni-focused student organization shall serve as student members of the Association and shall serve one [1] one-year term, commencing at the time of election of officers.
Section 9
The Alumni Recognitions Committee shall consist of the Past President of the Board of Governors as chair, the President of The University of Findlay [ex officio], the Vice President for Development [ex officio], the Director of Alumni & Parent Relations [ex officio], and three [3] appointed members of the Association for the purpose of selecting individuals to be recognized by the Association in accordance with the recognition criteria established by the Board.
Section 10
Class Agents shall be named to represent each graduating class, for the purpose of coordinating class reunions, correspondence, fund raising and strengthening relationships with the University.
Section 11
Area alumni meetings shall be encouraged in areas where sufficient concentrations of alumni are located. The Board of Governors shall cooperate with and encourage the University administration to plan programs for area alumni meetings at least every two [2] years.
ARTICLE V
Section 1
The Nominating Committee shall consist of the chair [appointed by the President], three [3] appointed members of the Association, the President of the Board of Governors [ex officio], and the Director of Alumni & Parent Relations [ex officio]; and shall:
a. Nominate at least one [1] candidate for the offices to be filled;
b. Receive nominations from the members of the Association;
c. Obtain prior consent of all candidates to be placed in nomination; and
d. Make an effort to insure representation of geographic areas and the last four decades on the Board of Governors.
Section 2
The President and the Vice President of the Association shall be elected biennially by the majority of the Board members present and voting at the last Board meeting held prior to the Annual Association Meeting.
Section 3
One-third of the twelve [12] elected representatives shall be elected by the Association at the Annual Meeting to serve a one [1] three-year term of office.
Section 4
A majority vote as cast by members of the Association present, and voting at the Annual Meeting shall constitute a valid election.
Section 5
Vacancies in the offices of President, Vice President or elected representative shall be filled for the unexpired term by a majority vote of the Executive Committee.
Section 6
The Board of Governors of the Alumni Association should be given the opportunity to interview all candidates for the Director of Alumni & Parent Relations or appoint one person to represent the Board of Governors on the search committee.
Section 7
The Board of Governors members who miss four consecutive meetings may be removed from the board at the discretion of the board.
ARTICLE VI
Section 1
The Board of Governors shall meet at least three times annually on dates to be determined by the Executive Committee.
Section 2
Members of the Board shall be notified in writing of the meeting dates at least fifteen [15] days prior to the meeting by the Secretary of the Board.
Section 3
Six [6] elected members may call for a special meeting of the Board in writing fifteen [15] days prior to the meeting, provided that the purpose is stated.
Section 4
A quorum shall be half the number of members on the Board of Governors.
Section 5
The Executive Committee shall meet as needed.
Section 6
Three [3] members present and voting constitute a quorum for the transaction of business by the Executive Committee.
ARTICLE VII
Section 1
The Distinguished Alumnus/a Award shall be presented to members of the Association who, by their personal example, have exhibited the highest standards of individual achievement in professional and/or personal endeavors; who have demonstrated loyalty and support of this institutional; and who, through dedicated service, have contributed to the advancement of all humanity.
a. There shall be no more than two awards in any given year, unless otherwise approved by the Board of Governors.
b. The Committee on Alumni Recognitions shall reserve the right to withhold the award in any given year.
c. No candidate shall be considered eligible for the award prior to the completion of ten [10] years’ status as a graduate of this institution.
d. Recipients of this award or their representatives must be in attendance at the Annual Meeting of the Association to be recognized.
e. Framed certificates of recognition shall be presented to Distinguished Alumni recipients.
f. Photographs of recipients shall be placed in the Distinguished Alumni Award case, located in the Alumni Memorial Union.
Section 2
An “Old Main” Award shall be presented to UF Alumni who have demonstrated distinctive achievements in a chosen career, civic involvement, and/or service to The University of Findlay and have not reached the age of thirty-six [36]. The recipients of this award would still be eligible to receive the UF Distinguished Alumni Award at a later time.
a. There shall be no more than one award in any given year, unless otherwise approved by the Board of Governors.
b. The Committee on Alumni Recognitions shall reserve the right to withhold the award in any given year.
c. Recipients of this award or their representatives must be in attendance at the Annual Meeting of the Association to be recognized.
d. Framed certificates of recognition shall be presented to “Old Main” recipients.
Section 3
A “Gold Medallion” Award – presented posthumously to deceased alumni who had superb records of distinguished career accomplishments and had made outstanding contributions to their professions, to their University and/or to their community, but had not been appropriately acknowledged by the University prior to their death.
a. There shall be no more than one award in any given year, unless otherwise approved by the Board of Governors.
b. The Committee on Alumni Recognitions shall reserve the right to withhold the award in any given year.
c. Recipients of this award or their representatives must be in attendance at the Annual Meeting of the Association to be recognized.
d. Framed certificates of recognition shall be presented to “Gold Medallion” designee.
Section 4
The Alumni Recognitions Committee shall consist of the members as stated in Article IV Section 10.
a. Members of the Association shall submit the names, in writing, of candidates to be considered for this award to the chairperson of the Alumni Recognitions Committee at least ninety [90] days prior to the Annual Meeting of the Association.
(1) Letters of recommendation shall include the candidates' qualifications based on: support of The University of Findlay; service to community in which the candidate resides; and professional and/or personal achievements in field of endeavor.
(2) All letters of recommendation must be signed by the person submitting the nomination.
b. Final selections by the Alumni Recognitions Committee shall be subject to review and concurrence of a majority of the Board of Governors present.
c. All deliberations of the Alumni Recognitions Committee and the subsequent review by the Executive Committee shall be confidential, and any notes, minutes or other memoranda of discussions shall be destroyed upon disposition of the considerations.
d. The name(s) of the recipients of this award shall be announced at the Annual Meeting of the Association.
e. All letters of recommendation shall be maintained in a confidential file to be located in the Office of Alumni & Parent Relations. If, at the end of five [5] years, no action has been taken on the nominated candidate, the letter of recommendation shall be placed in an inactive file or his/her hard copy file.
ARTICLE VIII
The rules contained in Robert’s Rules of Order [Revised or Newly Revised] shall govern this Board in all instances in which they are applicable and in which they are not inconsistent with these bylaws.
ARTICLE IX
Provisions of these bylaws not governed by the Constitution of the Association may be amended by a three-fourths vote of those members present and voting at any regular meeting of the Board of Governors, provided that notice of proposed amendments shall be received in writing thirty [30] days in advance of the meeting at which the amendment [s] shall be acted upon.
