ALUMNI ASSOCIATION, INCORPORATED 

 

ARTICLE I  The name of this organization shall be The University of Findlay Alumni Association, Incorporated.
 
ARTICLE II
The purpose of this organization shall be to promote The University of Findlay through activities and events involving the alumni community pursuant to their mutual interests and to support the University.
 
ARTICLE III
The membership of the Association shall consist of all two- and four-year graduates of The University of Findlay and Findlay College, including former business, music and academy alumni; all non-graduate students who have successfully completed one year of study and whose entering classes have graduated; and all recipients of honorary degrees granted by the institution.
 
ARTICLE IV
The Officers of the Association shall consist of President, Vice President and Secretary.
 
ARTICLE V
Section 1:  There shall be an Alumni Association Board of Governors which shall be the executive and administrative body of the Association and which shall exercise all the powers of the Association which are not herein reserved to the Association. The Board of Governors shall conduct the business of the Association as set forth in the bylaws. 
 
Section 2:  The Board of Governors shall consist of the Officers of the Association; the Past President of the Association; the elected representatives and the appointed members as set forth in the bylaws.
 
ARTICLE VI
Section 1:  The Association shall meet annually for the purpose of electing representatives, transacting business and recognizing distinguished alumni.
 
Section 2:  A majority vote by Association members present and voting shall constitute a quorum.
 
ARTICLE VII
Section 1:  The names of candidates nominated for the Offices of President and Vice President shall be presented to the Board of Governors. The President and Vice President of the Association shall be elected biennially by the majority of the Board members present and voting at the last Board meeting held prior to the Annual Association Meeting.
 
Section 2:  The names of candidates nominated for elected representatives of the Association shall be presented to the Association in writing prior to the annual meeting. One-third of the elected representatives shall be elected [for three-year terms] each year. Election to office shall be by majority of Association members present and voting at the annual meeting.
 
ARTICLE VIII
This Constitution may be amended by a two-thirds vote of the Association membership present and voting at the annual meeting, providing that notice of proposed amendments is given in writing thirty [30] days prior to the Annual meeting.
